Payment Terms

·  Projects totaling less than $5,000 shall be invoiced upon delivery of final translated files or completion of service(s) with net 30 terms

·  Projects totaling $5,000 or more require 30% payment at the time of signing the acceptance of the quote. The remaining balance shall be invoiced upon delivery of final translated files or completion of service(s) with net 30 terms

Cancellation or Withdrawal

If Client cancels or withdraws any portion of the service(s) set out in this agreement prior to Lingotek’s completion of the service(s), then, in consideration of Lingotek’s scheduling and/or performing said service(s) Client shall pay Lingotek the portion of the above fee represented by the percentage of total service(s) performed, but in any event not less than 50% of said fee.

Changes in Scope

If additional work beyond the scope of this agreement is requested by Client (including, but not limited to, additional requests or new material provided to Lingotek during the project; failure to provide full source material on project start; or changes based on Client preferences not explained to Lingotek in advance), charges for such work will be added to agreed project fees and invoiced at Lingotek standard pricing.

Quality Guarantee

Upon receipt of completed services from Lingotek, Client shall promptly review it and within 30 days notify Lingotek of any desired changes or corrections. If changes are needed as a result of Lingotek’s misunderstanding or error, Lingotek shall provide such work at no cost to the Client. Lingotek shall not be responsible for any changes made by persons other than Lingotek.


All information expressly identified by Client in writing as confidential which Lingotek acquires during the term of this Agreement regarding the business and products of Client shall be maintained in confidentiality by Lingotek and, except as expressly authorized by Client in writing, shall not be divulged or published by Lingotek and shall not be authorized by Lingotek to be divulged or published by others. Confidential information for purposes of this paragraph shall not include the following:

·   Information which is or becomes available to the general public, provided the disclosure of such information did not result from a breach by Lingotek of this paragraph.

·   Terminological glossary entries compiled by Lingotek in the course of Lingotek’s performance of the translation service(s) under this Agreement; provided, however, that Client and Lingotek may agree in writing that, upon payment by Client to Lingotek of an agreed-upon fee, such terminological glossary entries shall be the property of Client and shall be covered by the confidentiality provisions of this paragraph.


Lingotek may use Client’s name in its resumes, client list, case studies, and in other promotional information, including press releases, brochures, reports, letters, white papers, and electronic media such as e-mails and web pages.  Lingotek shall discontinue use of the Client’s name in any or all materials upon thirty (30) days prior written notice.


During any period in which Services are being performed, and for a period of two years thereafter, no party, directly or indirectly, shall solicit the employment of, employ, or contract with, any then-current or former personnel (including any Lingotek employees or contractors) who has worked for the other party within the prior six months. The soliciting party shall promptly notify the other party of any communications with any such personnel regarding employment. 


Client agrees to indemnify and hold harmless Lingotek of and from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, expenses or liabilities including reasonable attorneys' fees, which Lingotek may incur based on information or materials furnished, prepared or approved by Client for use by Lingotek in the work performed under this Agreement.

Governing Law

This Agreement shall be governed by the laws of the State of Utah.

Complete Agreement

This agreement constitutes the complete and agreement between Client and Lingotek relevant to the subject matter hereof. This agreement becomes a binding Agreement either on signature by Client and return to Lingotek via email or fax, or by online acceptance.

Our Company

Lingotek | The Translation Network is a cloud-based translation services provider, offering translation management software and professional linguistic services. We are the leader in collaborative translation technology with an innovative cloud translation management system (TMS) that uses computer-assisted translation (CAT) tools to facilitate faster, more efficient, language translation. Our History

Lingotek was founded in 2006 and is funded by Signal Peak Ventures and In-Q-Tel

Signal Peak Ventures is a Salt Lake-based venture capital firm that focuses on early-stage technology investments in the Intermountain region. The firm was established as Signal Peak in 2011 after the spin out of Canopy Ventures venture capital team and the acquisition of portfolio investments in ten other companies. The Signal Peak team has extensive experience in sourcing, executing, managing, and divesting venture capital stakes across the Intermountain region.
